1. Agreement to Terms

These Terms of Service ("Terms") govern your use of our website and your engagement of our services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use our website or services.

2. Services

We provide Shopify development, design, optimization, and related ecommerce services as described on our website and in individual project proposals. The specific scope, deliverables, timeline, and pricing for your project will be outlined in a separate project proposal or statement of work ("SOW") that, once accepted, forms part of these Terms.

3. Project Proposals and Acceptance

Before commencing any project, we will provide you with a detailed proposal outlining the project scope, deliverables, timeline, and pricing. Work begins only after you accept the proposal in writing (email acceptance is sufficient). Any changes to the agreed scope will be documented in a change order with associated cost and timeline adjustments.

4. Pricing and Payment

  • All pricing is quoted in the currency specified in your proposal
  • We typically require a deposit before work begins, with the balance due according to the payment schedule outlined in your proposal
  • Invoices are due within 14 days of issuance unless otherwise specified
  • Late payments may incur a late fee of 1.5% per month on the outstanding balance
  • We reserve the right to pause work on projects with overdue payments

5. Client Responsibilities

To ensure the successful and timely completion of your project, you agree to:

  • Provide all requested content, images, brand assets, and information in a timely manner
  • Provide timely feedback and approvals at designated milestones
  • Ensure you have the right to use all content and materials you provide to us
  • Designate a primary point of contact for project communications
  • Provide access to your Shopify admin and any other necessary accounts or platforms

Delays in providing materials, feedback, or approvals may result in corresponding delays to the project timeline.

6. Intellectual Property

  • Upon full payment, you own the custom code, designs, and other deliverables created specifically for your project
  • We retain the right to use general techniques, knowledge, and non-proprietary code in future projects
  • We retain the right to showcase the completed project in our portfolio unless you request otherwise in writing
  • Any third-party assets (themes, apps, fonts, stock images) remain subject to their respective licenses
  • You grant us permission to display your company name and logo as a client reference unless otherwise agreed

7. Revisions and Changes

  • Each project includes a specified number of revision rounds as detailed in the proposal
  • Additional revisions beyond the agreed scope will be quoted separately
  • Changes to project scope ("scope creep") will be documented in a change order with revised pricing and timeline

8. Project Timeline

We commit to delivering your project within the timeline specified in the proposal, subject to timely receipt of client materials and approvals. If we anticipate a delay on our end, we will notify you promptly and provide a revised timeline.

9. Warranties

  • We warrant that our work will be performed in a professional and workmanlike manner
  • We warrant that deliverables will be free from material defects for a period of 30 days after delivery
  • We do not warrant that your Shopify store will achieve specific sales figures, traffic levels, or search engine rankings, as these depend on many factors outside our control
  • We are not responsible for issues caused by third-party apps, Shopify platform changes, or modifications made by other parties after delivery

10. Limitation of Liability

To the maximum extent permitted by law, our total liability for any claims arising from our services shall not exceed the total amount paid by you for the specific project or service giving rise to the claim. We shall not be liable for any indirect, incidental, consequential, or punitive damages.

11. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the project. This includes but is not limited to business strategies, customer data, financial information, and technical details. This obligation survives the termination of our engagement.

12. Termination

Either party may terminate a project engagement with 14 days' written notice. In the event of termination:

  • You will pay for all work completed up to the termination date
  • We will deliver all completed work and materials
  • Any deposits for work not yet performed will be refunded on a pro-rata basis
  • We reserve the right to terminate immediately if payment terms are materially breached

13. Third-Party Services

Our work may involve third-party services, platforms, and tools (including Shopify itself). We are not responsible for the availability, performance, or terms of service of these third-party providers. Your use of Shopify and other third-party services is subject to their respective terms and conditions.

14. Dispute Resolution

Any disputes arising from these Terms or our services will first be addressed through good-faith negotiation between the parties. If a resolution cannot be reached, disputes will be resolved through binding arbitration in accordance with the applicable rules of arbitration in our jurisdiction.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Romania, without regard to conflict of law provisions.

16. Changes to Terms

We reserve the right to update these Terms at any time. Changes will be posted on this page with a revised "Last Updated" date. Continued use of our website or services after changes constitutes acceptance of the updated Terms.
